CFG, the governance token of the RWA protocol, may soon transform into equity. This is not a mere upgrade; it is a paradigm shift that tests whether DeFi can evolve beyond its own limitations.

Context: The Governance Token Trap Centrifuge, a protocol built on Polkadot, specializes in tokenizing real-world assets (RWA) like invoices and real estate. Its native token, CFG, has served as a governance token—holders vote on protocol parameters but have no direct claim on the protocol's revenue. This is the classic 'fat protocol, thin token' dilemma: the platform grows, but the token's value capture remains elusive. Meanwhile, regulatory pressure from the SEC has placed many governance tokens under the 'unregistered security' shadow. Centrifuge's proposal aims to break this deadlock by converting CFG into equity—a legal claim on the protocol's profits and assets.

Core: The Mechanism and Its Implications The proposal, still in its early stages, outlines a conversion of CFG tokens into shares of a legal entity that owns the protocol. Technically, this involves a smart contract upgrade to freeze or burn CFG tokens and issue corresponding equity certificates, likely held by a custodial entity. Contrarian: The Short-Term Regulatory Nightmare Many will hail this as a masterstroke for compliance. But the contrarian view: this proposal might actually increase regulatory risk in the short term. By explicitly labeling CFG as equity, Centrifuge invites the SEC to take a clear stance. If the conversion is deemed a new securities offering, the protocol could face fines or even a shutdown order.
